As part of our dedication to governance and compliance, we are seeking an experienced Senior Assistant Company Secretary to join our collaborative and dynamic team. Someone who is not afraid of a challenge, bringing new ideas and leading by example. The successful candidate will play a crucial role in supporting the team to deliver efficient company secretarial and governance advisory services in compliance with Board policies, regulatory requirements and legal frameworks. You will have strong regulated financial services, banking and/or PLC experience and enjoy working in a fast paced environment. As a skilled communicator, with a track record of ensuring alignment and common purpose, you will be able to build and manage relationships with stakeholders across all levels of the business, ensuring a clear focus on the Group’s strategic agenda, effective meeting management, timely production of minutes and tracking of actions. 

Key Responsibilities:

  • Providing high-quality company secretarial and governance support to the Starling Bank Limited Board Audit Committee, Board Risk Committee and/or Board Ethics & Sustainability Committee, ensuring meetings are effectively organised and minuted, and developing and maintaining information flows with senior management.
  • Monitoring changes in relevant legislation and ensuring that the organisation’s corporate governance practices comply with statutory and best practice requirements.
  • Providing corporate governance input for the Starling Bank Limited Annual Report and Accounts and Pillar 3 disclosures, including advising on best practice / market developments.
  • Managing updates and revisions to the Bank’s corporate governance framework and leading the annual production of the Bank’s Corporate Governance Statement.
  • Overseeing the annual Group insurance renewal and assisting with Group insurance queries and related matters.
  • Overseeing accurate maintenance of the Group’s statutory registers and records, ensuring all filing requirements are met promptly.
  • Overseeing Secretariat input for KYC, internal and external audit, assurance and regulatory information requests and ensuring timely responses thereto.
  • Making suggestions for improvements and efficiencies to provide optimal support to the business, Group entities and board / executive committee structures.
  • Managing two direct reports and reporting to the Deputy Company Secretary of the Group. 

Requirements

    • A qualified chartered secretary (ACG or FCG) or equivalent professional qualification in Law.
    • Minimum 3-5 years’ proven experience in a similar role, ideally within a banking or financial services environment but other PLC experience will be considered.
    • First rate knowledge of company secretarial, Companies Act 2006 and UK Corporate Governance Code requirements. Working knowledge of equivalent overseas requirements would be an advantage.  
    • Excellent written communication and exceptional minute-taking skills with an ability to write concise and accurate minutes in short order. 
    • Experience of supervising and managing direct reports, including supporting the training and development of junior team members. 
    • Ability to operate at pace and adapt to a fast changing internal and external environment.
    • Working knowledge of BoardVantage, GEMS and Shareworks preferred.
